Business setup consultant or DIY, when you need one

When setting up alone is fair, nine situations where a consultant earns the fee, and what the free zone itself does.

Quick Answer

A business setup consultant is optional in one profile: a single natural-person shareholder, a standard non-regulated activity, a free zone with a published package, no mainland trading and zero to two visas. Outside it, a consultant earns the fee in nine situations, such as corporate shareholders, regulated activities and structures in Dubai's or Abu Dhabi's financial centres.

Key Takeaways

  • Setting up alone is fair with one natural-person shareholder, a standard non-regulated activity, no mainland trading and zero to two visas.
  • Even in that simple case the bank file, Corporate Tax registration within three months and the activity wording are the weak points.
  • A consultant earns the fee in nine situations, from corporate shareholders and regulated activities to exits and sanctions-adjacent exposure.
  • A free zone processes its own licence and does not advise on the mainland, your Corporate Tax position or another zone.
  • Selling into Dubai from a free zone licence needs a dual licence at AED 10,000 per year or a six-month permit at AED 5,000 (October 2026).

Company setup without a consultant is fair for one profile of founder, and a business setup consultant earns the fee in nine situations. The page compares the three routes, sets out both groups and ends with a short self-check for your own case.

Three ways to set up and who each suits

You can file everything yourself, hand the work to a consultant under a contract, or go directly to the free zone, whose own sales and onboarding team processes one licence in its own zone. The routes differ in who carries the risk of a wrong choice.

RouteSuitsWhere it commonly goes wrong
On your ownOne natural-person owner, a standard activity, zero to two visasThe bank file, Corporate Tax registration and the activity wording
Through a consultantStructures that touch more than one authorityA quote that hides the government fee, or advice shaped by commission
Directly with the free zoneA founder who has already chosen the zoneThe zone sells its own licence and does not advise on the mainland, tax or another zone

When doing it yourself is reasonable

Setting up alone is fair in one profile: one shareholder who is a natural person, a standard non-regulated activity code, and a free zone with a published package and an online portal. Add no corporate shareholders, no mainland trading and zero to two visas. The honest step-by-step guide to setting up a company in Dubai yourself and the seven-step overview cover the procedure.

Three weak points remain even then. The first is the bank file: advisers commonly report that a file written after the licence is the main cause of a declined account. The Central Bank due diligence guidance, listed in its rulebook as in force from 7 November 2025, says banks should not establish or maintain a relationship when due diligence cannot be completed.

Corporate Tax registration is the second, due within three months of incorporation (Federal Tax Authority (FTA) Decision 3 of 2024). A late registration costs AED 10,000 (Cabinet Decision 75 of 2023 as amended, as of October 2026). The third is the activity wording. Choosing the activity by marketing name instead of the exact code leads to the wrong approvals, and a later amendment costs a fee and a bank notification.

Nine situations where a consultant pays for itself

Outside the profile above the failure points are specific, and each of these nine has a consequence that costs more than the work to prevent it.

  1. Corporate or foreign shareholders. A company shareholder's documents pass through the home country, the UAE embassy and the UAE foreign ministry, sometimes with Arabic translation (Government of Dubai, documents section). One missing link in the chain means weeks of delay or rejection.
  2. Regulated activities. Executive Council Resolution 5 of 2024 lets DET issue the licence instantly, except for activities listed by a resolution of the Chairman of the Executive Council, where permits or approvals must come before the licence. The investor signs an acknowledgement and undertaking, and permits, qualification checks and the on-site inspection happen before the activity starts. Ask DET whether your activity is on the Chairman's list. As your own check, a regulated activity such as health or education usually needs its regulator's approval. A virtual asset business in Dubai also needs a licence from the Virtual Assets Regulatory Authority (VARA) before it carries on any activity.
  3. Mainland and free zone combinations. Executive Council Resolution 11 of 2025 gives Dubai free zone companies three routes in Dubai only. They are a mainland branch, a dual licence at AED 10,000 per year and a six-month permit at AED 5,000 (as of October 2026). The mainland activity needs separate financial records.
  4. Goods trading. In practice a general trading wording draws extra bank checks. A free zone counts as outside the UAE for VAT on goods only if it is on the FTA's Designated Zones list and the other conditions are met. That status is not automatically a Corporate Tax Designated Zone (FTA clarification TAXP010, October 2026).
  5. More than three visas. Most free zones tie the quota to the desk or leased area, and Ras Al Khaimah Economic Zone (RAKEZ), for example, states up to 2 visas for one desk. On the mainland, the Ministry of Human Resources and Emiratisation (MOHRE) sets the work-permit quota after a Ta'qeem evaluation, so ask for your number before you sign a lease.
  6. Structures in the Dubai International Financial Centre (DIFC) or Abu Dhabi Global Market (ADGM). A DIFC private company pays USD 8,000 to register and USD 12,000 for the licence (fee schedule of 30 July 2026). The company sits under DIFC's own common-law framework, with its own laws and courts.
  7. Foundations and special purpose vehicles. A DIFC Prescribed Company cannot employ staff, and a non-exempt DIFC or ADGM vehicle must appoint a registered service provider before registration can proceed.
  8. Exits. Closing means cancelling the licence, the visas, the Corporate Tax registration and the bank account, and fines continue while the company stays on the register.
  9. Sanctions-adjacent exposure. Central Bank guidance lists funding from sanctioned or high-risk countries among its red flags, so ownership and customer chains need review before the first application.

What the free zone itself will and will not do for you

A free zone issues its own licence, runs its own portal and knows its own rules, and it is the right first call once you have chosen it. DIFC and ADGM also accept direct applications, and ADGM states that a single family office can be set up directly without a service provider (October 2026).

The zone sells one licence, so it will not compare itself with another zone, the Dubai mainland or your tax position. A free zone licence does not by itself allow trading on the mainland. Umm Al Quwain Free Trade Zone states that business in the local market has to go through an agent or distributor, while Dubai's Resolution 11 of 2025 opens three routes in Dubai only.

A package also covers only the zone's own lines. The establishment card, the medical test, health insurance, tax registration and the bank sit outside most packages, as the cost guide itemises. Zones can help with the bank: RAKEZ announced on 1 October 2026 an account route with RAKBANK for eligible licence holders. The approval still belongs to the bank.

Time and error risk side by side

Authorities state the time for single steps and none states a total from application to visa in hand. These are the stated times, and the places where the steps commonly go wrong.

What to hand over and what to keep

Hand over the repetitive, sequence-bound work: the attestation chain, the typing centre and PRO queues, the drafting of the memorandum and the order of medical test, Emirates ID and establishment card. Here the fee buys knowledge of the order.

Everything that makes the company yours stays with you: the ownership decisions and signatures, the portal logins in your own name, the original licence and memorandum, and the bank relationship. The lease must be in the company's name too, because a commercial Ejari must be issued under the licensed company's name (Dubai Land Department, October 2026). Sign the contract with a licensed entity and insist on a written scope. The guide on how to choose a business setup consultant lists twelve questions to ask first.

A short self-check for your own case

Answer yes or no to each line. One yes is a reason to ask a consultant or lawyer about that point.

  • Will a company or a person abroad hold shares, so that documents need attestation?
  • Is the activity one that a regulator licenses?
  • Will you sell to Dubai mainland customers from a free zone licence?
  • Will you trade goods across borders?
  • Do you need more than three visas?
  • Is the structure in DIFC or ADGM, or a foundation or special purpose vehicle?
  • Is there any sanctions-adjacent exposure in owners, customers or suppliers?
  • Do you expect to close or sell the company within two years?

If every answer is no, the do-it-yourself route is fair and the three weak points above are where to spend your care. If one is yes, a lawyer in the UAE can review contract terms. The trade licence guide, the mainland LLC guide and the free zone guide show how the points play out in each route.

Frequently Asked Questions

Can I set up a company in Dubai without a consultant?

Yes, in a simple case: one natural-person shareholder, a standard non-regulated activity, a free zone with a published package and online portal, no mainland trading and zero to two visas. Plan the bank file, Corporate Tax registration within three months and the activity wording.

When is a consultant worth paying?

When the case has corporate or foreign shareholders, a regulated activity, a mainland and free zone combination, goods trading, more than three visas, a DIFC or ADGM structure, a foundation, an exit or sanctions-adjacent exposure. In those cases a wrong step costs weeks or a penalty.

What will the free zone do for me directly?

It issues its own licence, runs its portal and explains its own rules, and DIFC and ADGM accept direct applications. It will not compare itself with other zones or the mainland, and it does not advise on your Corporate Tax position or your home country.

Which parts of the process should I keep control of?

Keep the ownership decisions, your portal logins, the original licence and memorandum, the bank relationship and the lease in the company's name. Hand over the filing sequence, the attestation chain and the queues. Put the split in a written scope.

Can a consultant promise a bank account?

No. A consultant prepares the file and may introduce you, but the bank decides. Central Bank due diligence guidance, listed as in force from 7 November 2025, says banks should not establish or maintain a relationship when due diligence cannot be completed, so no consultant can promise approval.
